Reynolds Advisory Partners uniquely offers its clients operations consulting services through its affiliate Sneffels Consulting, LLC. Sneffels' services are customized for companies that are actively engaged in or preparing to undertake a significant value creating transaction, for example, a company sale, a company purchase, an initial public offering or a debt recapitalization. The pragmatic, results-oriented operations consulting approach used by Sneffels Consulting focuses on quick wins from a CFO's perspective.

The Sneffels Process

Sneffels performs an initial assessment of the opportunities for improvement with an emphasis on both the big picture strategic initiatives and the often overlooked infrastructure areas such as finance, human resources, information systems, legal, and corporate development that often impede the growth plans of entrepreneurial companies and the CEOs that guide them.

Once the initial review is complete, specific recommendations are made with a view toward implementation that complements a desired or pending transaction. This might include adopting changes geared toward a strategic buyer or a separate plan for a private equity firm. The recommendations may be quite different if an initial public offering is contemplated and Sarbanes-Oxley compliance is required or if a major acquisition is under consideration. In the end, the objective of Sneffels Consulting is to assist companies and their CEOs in pursuing those improvements that will produce the greatest value in a time frame that is practical and consistent with the growth or exit plans of each client.

Sneffels Customizes its Approach to Meet Each Client's Objectives

Sell-side Review - Sneffels performs a detailed operational review focused on quick wins, much as an acquirer might look for synergies. Automation and process improvement opportunities are identified to enhance profitability, reduce close times, improve management reporting, eliminate redundant staffing or address skill set gaps and improve accounting, human resource and operating systems, data and controls. To the extent these operational changes impact near-term or long-term profitability or enable growth, the financial impact of the agreed upon recommended changes will be modeled for inclusion in the add-backs or pro forma financials to position the seller to receive maximum credit in the purchase price from the buyer for these future benefits.

IPO Readiness Review - To ascertain client readiness for the public markets, Sneffels reviews executive governance processes, internal financial controls, financial and other metric reporting systems and monthly/quarterly close processes are evaluated to provide a realistic assessment of a client's preparedness to comply with SEC requirements including Sarbanes Oxley and investor/analyst expectations. Upon request, specific recommendations for improvement and an action plan to achieve IPO readiness will be prepared.

Target Company Review - To improve target company performance, Sneffels identifies opportunities which are likely to generate synergies or enable growth. In particular, Sneffels examines automation and process improvement opportunities to enhance profitability, reduce close times, improve management reporting, eliminate redundant staffing or address skill set gaps, and facilitate the integration of accounting, human resource and operating systems, data, and controls. To the extent these operational changes impact near-term or long-term profitability or enable growth, the financial impact of the agreed upon recommended changes will be modeled for inclusion in the add-backs or pro forma financials thereby positioning the client to receive maximum credit for these synergies from financing sources.
